Atom Terms of Service (ATOS)

PLEASE READ THIS ATOM TERMS OF SERVICE AGREEMENT CAREFULLY, AS IT CONTAINS IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS AND REMEDIES INCLUDING CONSENT TO MANDATORY ARBITRATION FOR ANY DISPUTES ARISING OUT OF THIS AGREEMENT OR ANY SERVICE AGREEMENT.

Welcome to Atom, which is provided by Squadhelp LLC (collectively such entities will be referred to as “Atom”, “we” or “us”). These Atom Terms of Service (“ATOS”)  (this “Agreement”) is entered into between you and Atom effective as of the date or your use of www.atom.com (the “Website”) or the date of electronic acceptance. This Agreement governs your access to and use of the “Website” as well as any and all content, functionality and services offered on or through the Website (collectively, the “Services”).  Any agreements, arrangements and/or additional policies that apply to certain Services ("Services Agreements") and are in addition to (not in lieu of) this Agreement. In the event of a conflict between the provisions of a Services Agreement and the provisions of this Agreement, the provisions of the applicable Services Agreement shall control. We may amend this Agreement at any time by posting the amended terms on our Website.

By accessing, registering for or using the Services, you represent, warrant and covenant:

  • you are at least 18 years of age;
  • you agree to be bound by this Agreement, any applicable Service Agreement, and all Atom policies and guidelines referenced in this Agreement, an applicable Service Agreement or incorporated into this Agreement by reference;
  • you have the legal power and authority to enter this Agreement on behalf of yourself or the person or entity you represent;
  • you will not abuse or misuse the Service or misrepresent your identity to us.

THIS AGREEMENT CONTAINS WARRANTY DISCLAIMERS AND OTHER PROVISIONS THAT LIMIT OUR LIABILITY TO YOU. PLEASE READ THIS AGREEMENT CAREFULLY AND IN ITS ENTIRETY, AS ACCESSING, REGISTERING TO USE OR USING THE SERVICE CONSTITUTES ACCEPTANCE OF THIS AGREEMENT. IF YOU DO NOT AGREE TO BE BOUND TO EACH AND EVERY TERM AND CONDITION SET FORTH HEREIN, PLEASE EXIT OUR WEBSITE IMMEDIATELY AND DO NOT ACCESS OR USE THE SERVICES ANY FURTHER.

  1. Definitions
    "Atom, "we", "us", "our" refer to Atom and its affiliates that provide the Services.
    "You" or "Your" means the individual or entity using the Services.
    "Services" means all products, websites, applications, and online or offline offerings provided by Atom, including without limitation creative contests, the Atom Marketplace, domain registration, DNS and forwarding, brokerage, portfolio management, and related services.
    "Content" means all text, data, information, graphics, audio, video, and other material available through the Services.
    "User Content" or "Member Content" refers to Content provided by a User or Member, including Entries, listings, messages, and feedback.
    "User" means any person or entity that accesses or uses the Services, whether or not they have created an account.
    "Member" means a User who has created an account with Atom to access or use any Service. A Member may act in one or more roles – such as Buyer, Creative, Seller, or Registrant – depending on which Services they use. All Members are Users, but not all Users are Members.
    "Buyer" means a Member who purchases or requests goods or services through the Services, including those who host Contests, buy domains, or order creative or marketing work.
    "Creative" means a Member who participates in a Contest by submitting an Entry in the Marketplace.
    "Seller" means a Member who lists domain names, creative assets, or other property for sale in the Marketplace.
    "Registrant" means a Member who registers, renews, transfers, or otherwise manages a Domain through our Domain Registration Services.
    "Guidelines" means any rules, policies, or procedures that Atom publishes on its Website or otherwise makes available for a particular Service.
    "Contest" means an online project or event hosted by a Buyer to invite Creatives to submit Entries for a specific creative, marketing, or design need. A "Guaranteed Contest" is one where the Buyer guarantees that a Winner will be chosen.

  2. Your Agreement with Us; Order of Precedence
    Upon creating an account, using any Service, or otherwise indicating acceptance, you agree to be bound by:

  • these Atom Terms of Service;
  • any Service Agreement or Addendum that applies to the specific Service you use;
  • any Guidelines or policies that we publish on our Website.
    Together, these documents form the Agreement.
  1. Account Creation and Security
  • You must create an Atom user account (a "User Account") to access or use certain Services. Your User Account is created through the registration process on our Website or through another method we make available. Each Member may maintain only one active User Account.
  • You agree to provide true, complete, and current information when creating your User Account and to keep that information up to date at all times.
  • You are responsible for maintaining the confidentiality and security of your login credentials.
  1. Acceptable Use
  • You agree to use the Services lawfully, responsibly, and only for their intended purposes. You must comply with these ATOS, all applicable Guidelines, and any Service Agreement that applies to the specific Service you use.
  • You may not, directly or indirectly:
    1. use the Services in any way that violates any law, regulation, or the rights of others;
    2. upload, post, transmit, or otherwise make available any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable;
    3. infringe or misappropriate any Intellectual Property Right, trade secret, or other proprietary right.
  1. Payments, Credits, Taxes, and Refunds
  • All payments for Services must be made through Atom’s authorized payment providers. By submitting payment information, you authorize Atom to charge the specified amount.
  • Atom may require additional verification before processing a payment or transfer.
  1. Intellectual Property
  • Atom owns all Intellectual Property Rights in and to the Services. You retain ownership of all Intellectual Property Rights in your User Content.
  1. Privacy and Data Use
  • Your use of the Services is subject to Atom’s Privacy Policy, which describes how Atom collects, uses, and protects personal data.
  1. Suspension and Termination
  • Atom may suspend or restrict your User Account or access to any Service at any time if Atom determines that you have violated these ATOS, any Service Agreement, or any applicable law.
  1. Disclaimers and Limitation of Liability
  • THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT ANY WARRANTIES OF ANY KIND.
  1. Indemnification
  • You agree to indemnify, defend, and hold harmless Atom, its affiliates, officers, directors, employees, contractors, and service providers from and against any and all claims, demands, actions, losses, damages, liabilities, costs, and expenses arising out of or relating to your use of the Services.
  1. Dispute Resolution and Arbitration
  • You and Atom agree to attempt to resolve the dispute informally before starting arbitration or any court proceeding.
  1. General Terms
  • These ATOS, together with any applicable Service Agreements and incorporated policies, constitute the entire agreement between you and Atom concerning your access to and use of the Services.
